# Nice and Co. — Amazon & Wayfair 1P Vendor Management > Nice and Co. is a first-party (1P) vendor management company that lets product brands sell wholesale to Amazon and Wayfair using Nice and Co.'s established vendor account, without needing their own Vendor Central invitation or AVS (Amazon Vendor Services) relationship. ## What We Do Nice and Co. acts as the vendor of record on Amazon Vendor Central (AVC) and Wayfair. Brands (our clients) supply inventory from their warehouses directly to Amazon's Fulfillment Centers (FCs). Amazon purchases the inventory wholesale — at the agreed Amazon Cost — and retails it to consumers at full price. Nice and Co. manages the entire compliance, invoicing, and financial reconciliation layer between the brand and Amazon. Our portal, **Co.nnect**, gives every client real-time visibility into: - Purchase Orders (POs) issued by Amazon or Wayfair for their products - Shipment planning, routing, ASN (Advance Shipment Notice) submissions, and fulfillment compliance - Invoice status and remittance reconciliation — what Amazon has paid and when - Co-op allowance tracking (freight, damage, and COOP deductions Amazon takes monthly) - Chargeback and shortage claim management with line-item attribution - A product catalog (item master) with Amazon listing data, dimensions, and cost setup ## Services - **Amazon 1P Vendor Access** — Brands sell through our Vendor Code (TOTG8) on Amazon without needing an Amazon Vendor Central account of their own. - **Wayfair 1P Access** — Brands access Wayfair's wholesale channel through our supplier relationship. - **PO Management** — We receive Amazon purchase orders via the Selling Partner API and forward them to the correct client through Co.nnect. - **Shipment Compliance** — Clients ship inventory according to Amazon's routing and labeling requirements. We provide pack slips, carton labels, pallet labels, Bills of Lading, and ship plans. - **ASN Submission** — We submit Advance Shipment Notices (ASNs) to Amazon's SP-API on behalf of clients. - **Invoicing** — We invoice Amazon for shipped, accepted quantities using the Vendor Invoices SP-API. - **Financial Reconciliation** — We reconcile Amazon remittances, co-op charges, chargebacks, and shortage claims against invoices, then calculate and pay out each client's net share. - **Catalog & Content Management** — We manage item setup, listing attributes, dimensions, pricing, and brand content on Amazon. ## How the Money Works Amazon issues POs at the agreed **Amazon Cost** (our wholesale price). Amazon pays remittances approximately 30 days after invoice via ACH to our FFL (First Federal of Lakewood) bank account. Before remitting to clients: 1. **23% Allowance Reserve** — We hold 23% of gross invoiced amounts to cover Amazon's monthly co-op charges (5% COOP1 + 13% COOP2 + 3% freight allowance + 2% damage allowance). This mirrors exactly how Amazon accrues these fees. 2. **10% Nice and Co. Co-Op Fee** — Our management/co-op fee on the net post-allowance amount. 3. **Shortage & Chargeback Deductions** — Amazon shortage claims (SC) and VCBS (Vendor Chargeback Invoice) charges are passed through to the originating client. 4. **Client Remittance** — The remaining cash is paid out to each client via ACH from our Mercury business account. ## Our Technology - **Co.nnect Portal** — A React/TypeScript web application hosted at connect.niceandco.com. Built with Vite, shadcn/ui, TailwindCSS, and Supabase (PostgreSQL).
